These Terms govern your access to and use of liminos.ai, the integration and automation layer for accounting firms that use Karbon. Please read them carefully. Defined terms are explained as they appear, and our Privacy Policy explains how we handle your data.

01Acceptance of terms

These Terms of Service (the “Terms”) form a binding agreement between you and liminos.ai (“liminos.ai”, “we”, “us”, or “our”) and govern your access to and use of the liminos.ai website, dashboard, and integration service (together, the “Service”).

By creating an account, signing in, connecting a Karbon workspace, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of a firm or other organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.

02The service

liminos.ai is a multi-tenant integration and automation layer for accounting firms that use Karbon. The Service connects your Karbon workspace to other applications and automation tools so that data can be read from, and written back to, Karbon on your behalf. Functionality includes connecting Karbon workspaces, running automations in response to Karbon events, and exposing Karbon data and actions to third-party tools such as Zapier.

Beta service

The Service is currently offered as a beta. It is provided on an invite-only basis, may change frequently, and may contain defects or be interrupted without notice. Features described on our website or in the dashboard may be added, changed, or removed as the Service develops. We may impose or change usage limits at any time.

03Accounts & eligibility

Access is currently limited to eligible accounting firms in the United States, and may be granted by invitation only during the beta. We may approve, decline, or revoke access at our discretion.

You sign in to the Service using a supported third-party identity provider (Google or Microsoft). You are responsible for maintaining the security of the identity provider account you use to sign in, for the Karbon credentials and other connection secrets you provide, and for all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account or any other breach of security. You agree to provide accurate information and to keep it up to date.

04Credits & billing

The Service is billed on a prepaid, usage-based credit model. You purchase credits, and credits are consumed as you use billable actions of the Service — for example, calls that read from or write to Karbon through a connected tool. Current pricing and the rate at which credits are consumed are described on our pricing page and in the dashboard.

  • Payments. Card payments and billing details are processed by our payment processor, Stripe. We do not store full card numbers; payment-card data is handled by Stripe under its own terms and privacy policy.
  • Auto top-up. You may optionally enable automatic top-up, which charges your saved payment method to replenish credits when your balance falls below a threshold you set. You can disable auto top-up at any time in the dashboard.
  • Expiry. Purchased credits expire twelve (12) months after purchase unless stated otherwise at the time of purchase.
  • Refunds. Except where required by law, purchased credits are non-refundable. If you believe you have been billed in error, contact us and we will review the charge in good faith.

Insufficient credits may cause automations and billable actions to pause until your balance is replenished. You are responsible for any taxes associated with your use of the Service, other than taxes on our net income.

05Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service in violation of any applicable law or the terms of Karbon, Zapier, or any other connected service;
  • access or attempt to access data belonging to another customer, or otherwise circumvent the tenant isolation of the Service;
  • probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
  • use the Service to send unsolicited communications, infringe intellectual-property rights, or process data you are not authorized to process;
  • interfere with or disrupt the integrity or performance of the Service, including by exceeding documented rate limits or abusing automation; or
  • reverse engineer, resell, or sublicense the Service except as expressly permitted.

We may suspend or limit access that we reasonably believe violates these Terms, poses a security risk, or threatens the stability of the Service or the systems we connect to. We will use reasonable efforts to notify you where practicable.

06Your data & connections

As between you and us, you retain all rights to the data in your Karbon workspace and in the other services you connect (“Your Data”). You grant us the limited rights necessary to operate the Service for you — for example, to read from and write to Karbon, to route data to and from connected tools such as Zapier, and to store the connection credentials and records needed to run your automations.

You are responsible for the connections you create and for ensuring you have the authority to connect each workspace and to share the data that flows through it. How we collect, use, store, and protect data is described in our Privacy Policy.

07Intellectual property

The Service, including its software, design, and the liminos.ai name and logo, is owned by us and our licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms. We reserve all rights not expressly granted.

Karbon, Zapier, Google, Microsoft, Stripe, and other third-party names are trademarks of their respective owners and are used for identification only; their use does not imply endorsement.

If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free right to use that feedback without obligation to you.

08Disclaimers & liability

The Service is provided “as is” and “as available,” and is currently in beta. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that automations will run without delay or error.

The Service depends on third-party services, including Karbon. We are not responsible for the availability, accuracy, or actions of those third-party services, or for data they process or return. You are responsible for reviewing the results of automations that read from or write to your systems of record.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the three (3) months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).

09Termination

You may stop using the Service and close your account at any time by contacting us or using the controls in the dashboard. We may suspend or terminate your access if you breach these Terms, if required to protect the Service or other customers, or if we discontinue the Service.

On termination, your right to use the Service ends. Unused credits are forfeited on termination for breach and are otherwise non-refundable as described above. You may request export or deletion of Your Data as described in the Privacy Policy. We will delete or de-identify connection credentials and account data in accordance with that Policy and our retention practices, except where we are required to retain certain records (for example, billing records). Provisions that by their nature should survive termination — including intellectual-property, disclaimer, liability, and governing-law terms — will survive.

10Changes & contact

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the United States and the state in which we are established, without regard to conflict-of-laws rules. The specific governing law and venue will be confirmed at general availability.
